Please note that this AGM will also include an Extraordinary General Meeting to approve the proposed abolishment of the Chamber's Memorandum and Article of Association and the adoption of a new constitution for the Chamber.
Incorporated on 4 October 1991 under the name « French Business Organization Bhd » with 18 founding members and 1 staff, the Malaysian French Chamber of Commerce and Industry has grown over the last 33 years to reach over 300 members and 21 staff, offering a significant range of activities and services to contribute to the development of the Malaysia—France trade.
In line with the latest changes in the Companies Act 2016, the Board of Directors and the Management believe that it is now time to replace our existing Memorandum and Articles of Association with a new constitution based on the updated guidelines provided by the Registrar of Companies (SSM).
As such, we have attached to this notice the draft of a new constitution prepared by the Management and the Board of Directors, in coordination with and under the control of our legal advisor and our company secretary.
This is a revised version of the standard format of the constitution provided by SSM. Once approved by the members of the Malaysian French Chamber of Commerce and Industry Bhd, it would be fully reviewed by SSM before becoming officially the new constitution of the organization.
